Building from the Core Team | CR SWCS Key Insights to a Hong Kong IPO

On May 21–22, CR SWCS, as one of the first institutions to join the Zhongguancun Science City – Hong Kong Capital Market Service Centre, was invited by The Hong Kong Chartered Governance Institute to participate in the "Practical Foundations of Hong Kong IPO" course held in Beijing.

 

The course focused on the full lifecycle of a Hong Kong IPO, covering listing review, financial and tax considerations, legal compliance, internal controls, valuation models, and public sentiment management. The event brought together high-quality companies from sectors including IT, biotechnology, advanced manufacturing, new energy, and financial services. Through practical case studies and the latest regulatory insights, participants gained actionable guidance on IPO execution, compliance, and strategic preparation.

 

 

Dr. Maurice Ngai, Director and CEO of CR SWCS, was invited as a keynote speaker. In his session, "Building Internal Teams and Early-Stage Preparation for Hong Kong Listing Applicants," Dr. Ngai highlighted that a strong internal team is the foundation of a successful IPO. He emphasized the early establishment of a core structure comprising the Board of Directors (with at least one-third independent non-executive directors), CEO, CFO, and Company Secretary, alongside a cross-functional IPO task force.

 

Dr. Ngai also outlined the critical IPO timeline across three phases:

  • 6–12 months prior: Preparation stage
  • 3–6 months prior: Application and review
  • 1–2 months prior: Offering and listing

 

Each phase requires clearly defined responsibilities and close coordination between the board and internal teams to ensure efficient execution.

 

Dr. Ngai further underscored key considerations, including directors’ personal responsibilities, the validity periods of financial information, and critical meeting schedules. By leveraging a coordinated "internal + external" approach—integrating internal teams with professional advisors—companies can significantly enhance compliance quality and accelerate the listing process.

 

 

During the interactive session, Dr. Ngai addressed a range of practical questions, deepening participants’ understanding of Hong Kong IPOs and A+H listing pathways.
